Terms of Service
These terms are the agreement between you and IKKIO Oy for using IKKIO Data Rooms. By creating an account, opening a data room you were invited to, signing an agreement through a signing link, or booking a meeting through a booking page, you accept them.
1. The parties and the Service
IKKIO Data Rooms (the “Service”) is provided by IKKIO Oy, Helsinki, Finland (“IKKIO”, “we”). “You” means the person using the Service and, where you act for a company, that company as well. The Service lets companies create investor data rooms, share documents by access level, manage their fundraising work, collect electronic signatures, take meeting bookings, use an AI assistant, and take part in the Meexdy member network.
2. Accounts
- You must be at least 18 and give accurate details. Keep your password private; everything done from your account is on you until you tell us it was compromised.
- One person, one account. You may belong to many workspaces with different roles.
- We may suspend or close accounts that break these terms, threaten the security of the Service, or stay unused for a long time after notice.
3. Workspaces and roles
A person who creates a workspace is its Workspace Owner. Owners and the admins they appoint control the workspace entirely: what is uploaded, who is invited, which access level unlocks which document, which integrations are connected, and what the AI assistant may do inside it. For the data in their workspace, Workspace Owners are the data controller and IKKIO is their processor, as set out in the Privacy Policy. Owners are responsible for having the right to upload what they upload and to process the personal data of the people they invite or track.
Investors receive Level 1 or Level 2 access from a Workspace Owner. Access can be changed or withdrawn by the owner at any time and gives no rights beyond viewing the material shown.
4. Confidentiality
Material in a data room is confidential to the workspace that shares it. Unless the Workspace Owner tells you otherwise in writing, you may use it only to evaluate a potential investment in or relationship with that company, you may not share it outside your own organisation, and you must stop using it and delete your copies when asked. A company may also require you to sign a non-disclosure agreement through the Service before granting access; that agreement applies in addition to this clause. Workspace Owners can see when and for how long investors open documents, as described in the Privacy Policy.
5. Your content
You keep all rights to what you upload or write. You give IKKIO a licence to store, process, display and transmit it only as needed to run the Service for you, including sending it to the AI providers when you use the assistant. You confirm your content does not infringe anyone's rights and is not unlawful. We may remove content that we reasonably believe breaks these terms or the law, and we will tell the Workspace Owner when we do.
6. The AI assistant
The assistant answers questions about a data room and, for team members, can create pages, tasks and answer-library entries on request. These rules apply:
- Funding. Every account receives 10 free IKKIO credits; one credit covers one assistant message, however many steps it takes. Credits have no cash value, cannot be transferred or refunded, and we may change the number of free credits, the model used for credit-funded messages, or the credit system itself with notice in the app. More credits are granted at IKKIO's discretion on request.
- Your own API key. You may connect your own Anthropic or OpenAI key instead. You are then responsible for that key, for the provider's charges, and for complying with the provider's terms. We store the key encrypted, use it only for your own assistant messages, and delete it when you disconnect. We are not liable for charges your provider bills you.
- Output is not advice. AI output can be wrong, incomplete or out of date, even when it quotes a document. It is not legal, financial, tax or investment advice. Check anything you rely on, and treat pages the assistant drafts as drafts.
- Data. What is sent to the AI providers, and what is not, is described in section 3.6 of the Privacy Policy. By using the assistant you agree to that transmission for the workspace you use it in. Workspace Owners may ask us to disable the assistant for their workspace.
- Fair use. Do not use the assistant to extract material you are not entitled to, to attack the Service or the providers, or to generate unlawful content. We may rate-limit or suspend assistant access to protect the Service.
7. Electronic signatures
When you sign through a signing link you agree that typing your name and clicking “Sign” is your electronic signature, with the same effect as a handwritten one where the law allows, and that the audit trail we keep (text shown, name, time, IP address, browser, hash) may be used as evidence of the signature. Workspace Owners are responsible for the content of the agreements they send and for choosing a form of signature that is valid for their purpose; IKKIO is not a party to those agreements.
8. Bookings and integrations
Booking pages and the Google Calendar and Airtable integrations are offered as conveniences. Workspace Owners who connect a Google or Airtable account authorise IKKIO to act on it as described in the Privacy Policy and must have the right to do so. These third-party services run under their own terms and we are not responsible for their availability.
9. Meexdy
Meexdy is a members' network for founders and investors. Be honest about who you are, introduce people only with their interest in mind, and respect the response-time commitments you make on postings and pitches. Content you post there is visible to other members. We may remove content, limit invitations or suspend members who spam, harass, or misrepresent themselves.
10. Acceptable use
You may not:
- access or try to access data rooms, documents or accounts you have not been granted;
- circumvent access levels, signed links, row-level security or rate limits;
- upload malware, or content that is unlawful, infringing, defamatory or harassing;
- scrape the Service or use it to build a competing product;
- share private links (signing, booking, calendar feeds) with people they are not meant for.
11. Fees
The Service is currently free to use beyond the credit rules in section 6. If we introduce paid plans we will announce them in advance, and nothing you already have will be removed without notice.
12. Availability and changes
We work to keep the Service available but do not promise uninterrupted service. We may change or discontinue features with reasonable notice. Where a change materially reduces what you rely on, we will give Workspace Owners a reasonable period to export their material.
13. Disclaimer and liability
The Service is provided “as is”. To the extent permitted by law, IKKIO excludes all implied warranties and is not liable for indirect or consequential loss, loss of profit, or loss of data, nor for decisions you make on the basis of material in a data room or output of the AI assistant. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim, or EUR 100 if you paid nothing. Nothing limits liability for gross negligence, wilful misconduct, or anything that cannot be limited under Finnish law.
14. Termination
You may stop using the Service at any time and ask us to delete your account at info@ikkio.ai. Workspace Owners can delete their workspaces themselves. Sections 4, 5, 7, 13 and 15 survive termination.
15. Governing law and disputes
These terms are governed by the laws of Finland, excluding its conflict-of-law rules. Disputes are settled by the District Court of Helsinki, unless you are a consumer entitled to bring proceedings in your home country. We will always try to resolve a problem by email first.
16. Changes to these terms
We may update these terms. The date at the top shows the current version, and material changes are announced in the app before they take effect. Continuing to use the Service after that date means you accept the new terms.
